1. Acceptance of Terms

By accessing or using the Prompt in Progress website, community channels, events, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

2. Description of Services

Prompt in Progress is an AI ecosystem builder based in Hong Kong and the Greater Bay Area. We provide:

• Community meetups, networking events, and workshops focused on artificial intelligence
• Online resources, content, and information related to AI and technology
• Communication channels including WhatsApp groups and email newsletters
• Partner and collaboration opportunities with organisations and individuals

Our events are organised through third-party platforms such as Luma. Event-specific terms and conditions may apply and will be communicated at the time of registration.

3. User Conduct

By using our Services, you agree to:

• Treat all community members with respect, dignity, and professionalism
• Comply with our Code of Conduct, which prohibits harassment, discrimination, and inappropriate behaviour
• Provide accurate and truthful information when registering for events or communicating with us
• Not use the Services for any unlawful purpose or in violation of applicable laws and regulations
• Not disrupt, interfere with, or harm the operation of our Services or the experience of other users

We reserve the right to remove any user from our community or events for behaviour that violates these Terms or is otherwise deemed inappropriate at our sole discretion.

4. Intellectual Property

All content on our website and related materials, including but not limited to text, graphics, logos, images, videos, and code, is the property of Prompt in Progress or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, or exploit any content from our Services without our prior written consent, except for personal, non-commercial use.

The "Prompt in Progress" name, logo, and branding are our trademarks. You may not use them without our express permission.

5. Event Participation

When you register for and attend our events, you agree to:

• Follow all event rules, guidelines, and safety protocols
• Not record, photograph, or live-stream sessions without explicit consent from the organisers and participants
• Behave professionally and respectfully toward speakers, sponsors, and fellow attendees

We and our partners reserve the right to take photographs, record audio, and capture video footage at our events for promotional, archival, and commercial purposes. By attending, you consent to being depicted in such materials unless you notify us in advance.

We reserve the right to refuse entry or remove any attendee from an event without refund for violation of these Terms or our Code of Conduct.

We also reserve the right to cancel, modify, or deny access to any event, registration, or community channel at any time, for any reason, without prior notice or explanation.

6. Event Registration & Refund Policy

6.1 Purpose and Scope

This policy governs all event registrations, ticket purchases, and community bookings managed by Prompt in Progress (hereafter referred to as "the Organizer"). By registering for any of our meetups, hackathons, or workshops, the participant ("Registrant") agrees to the terms and conditions outlined below.

6.2 Strict Non-Refundable Policy

Because our community events feature limited venue capacity, every spot is highly valuable. Therefore, all event registrations and ticket sales are strictly 100% non-refundable.

• No Refunds for Personal Cancellations: If a participant cancels their registration, chooses not to attend, or is unable to attend due to scheduling conflicts, health issues, personal emergencies, or travel delays across the Greater Bay Area, no refunds or partial refunds will be issued.
• Non-Refundability of Transaction Fees: All ticket purchases are subject to non-refundable platform fees (Luma) and credit card processing fees (Stripe). Under no circumstances can these transaction fees be recovered or refunded.
• No-Shows: Participants who fail to attend the event forfeit their registration fee entirely.
• Best Efforts to Attend: Participants are expected to make their best, good-faith efforts to attend the event for which they registered. Please thoroughly review event dates, times, and venue locations before completing your purchase.

6.3 No Ticket Transfers

To maintain the technical integrity of our community and ensure that all attendees meet the required builder/engineer criteria, ticket transfers are strictly prohibited.

• Tickets are bound to the specific individual named during the registration process.
• You may not sell, gift, or transfer your ticket to any other individual, colleague, or friend.
• Unapproved individuals attempting to attend using another person's ticket will be denied entry at the venue door.

6.4 Event Cancellation or Rescheduling by the Organizer

Prompt in Progress reserves the right to cancel or reschedule an event due to venue issues, speaker cancellation, severe weather (e.g., Typhoon Signal No. 8 or above / Black Rainstorm Warning), or force majeure.

• If the Event is Rescheduled: Registrants will be automatically transferred to the new date. If a registrant cannot make the new date, they will be entitled to a refund of the ticket price (minus non-refundable payment processing fees).
• If the Event is Canceled: Registrants will be notified immediately via email/platform notification and will receive a refund of the ticket price.

Note on Fees: Because Luma and Stripe retain payment processing fees on all transactions, any refunds issued due to organizer cancellation will be for the net ticket price received by the Organizer, or a 100% face-value credit voucher for a future event.

Limitation of Liability: The Organizer is responsible only for the net cost of the event ticket. Prompt in Progress is not responsible or liable for any personal travel costs (including high-speed rail, ferry, or cross-border transport), lodging, or incidental expenses incurred by the participant due to a canceled or rescheduled event.

6.5 Policy Acceptance

By completing your registration and submitting payment, you acknowledge that you have read, understood, and agreed to this Non-Refundable, Non-Transferable, and Fee-Retaining Policy.

7. Third-Party Links and Services

Our Services may contain links to third-party websites, platforms, or services that are not owned or controlled by Prompt in Progress. We are not responsible for the content, privacy practices, or terms of any third-party services.

Your use of third-party services such as Luma, WhatsApp, YouTube, LinkedIn, and others is subject to their respective terms and policies.

8. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or free from harmful components.

We make no representations or warranties regarding the accuracy, completeness, or reliability of any content provided through our Services, including information about AI technologies, events, or third-party offerings.

We do not guarantee specific outcomes from attending our events, using our community channels, or engaging with our content — including but not limited to career opportunities, business connections, or technical results. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice or liability.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Prompt in Progress and its founders, organisers, volunteers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services.

This includes, but is not limited to, damages for loss of profits, data, or opportunities, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Prompt in Progress and its representatives from any claims, liabilities, damages, losses, or expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another party.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

12. Termination

We reserve the right to suspend or terminate your access to our Services at any time, without notice, for conduct that we believe violates these Terms or is harmful to our community or interests.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, and limitation of liability.
